TERMS AND CONDITIONS OF USE

1. ACCEPTANCE OF TERMS
1.1 These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Customer," "you," or "your") and Riverbank Solutions Ltd ("Company," "we," "us," or "our"), a company incorporated under the laws of Kenya and located at Hurlingham, Nairobi, Kenya.
1.2 By downloading, installing, accessing, or using our ERP application ("App," "Software," or "Service") on any platform (Android, iOS, or Web), you acknowledge that you have read, understood, and agree to be bound by these Terms.
1.3 If you do not agree to these Terms, you must not use the App and should immediately discontinue any use and uninstall the App from your devices.
1.4 These Terms apply to all users of the App, including but not limited to business owners, employees, administrators, and any other authorized users.
2. DESCRIPTION OF SERVICE
2.1 The App is a comprehensive Enterprise Resource Planning (ERP) solution that enables businesses to manage various operational aspects including:
- Point of Sale (POS) systems
- Inventory and stock control
- Payment processing (incoming and outgoing)
- Financial reporting and analytics
- Customer relationship management
- Supplier management
- Business intelligence and reporting
- Multi-user access and role management
- Data synchronization across devices
- Other business management functionalities
2.2 The Service is provided on a Software-as-a-Service (SaaS) basis and requires an active internet connection for full functionality.
2.3 We reserve the right to modify, update, or discontinue any features of the App at any time without prior notice, provided that such changes do not materially reduce the core functionality you have paid for.
3. USER REGISTRATION AND ACCOUNT
3.1 To use the App, you must create an account by providing accurate, current, and complete information as prompted by the registration process.
3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 You must immediately notify us of any unauthorized use of your account or any other breach of security.
3.4 You represent and warrant that:
- You have the legal authority to enter into this agreement
- You are at least 18 years old or the age of majority in your jurisdiction
- All information provided during registration is accurate and truthful
- You will comply with all applicable laws and regulations
- If representing a business entity, you have proper authorization to bind such entity
- Your business is properly registered and licensed in your jurisdiction
- You have obtained all necessary corporate resolutions for enterprise accounts
3.5 Business Authorization: For business accounts, you warrant that you are an authorized representative with power to bind the business entity to these Terms. You may be required to provide proof of authorization upon request.
3A. MULTI-USER ACCOUNT MANAGEMENT
3A.1 User Roles: You may assign different roles and permissions to users within your account. You are solely responsible for managing user access and ensuring appropriate permissions.
3A.2 Administrator Responsibilities: Account administrators are responsible for:
- Managing user access and permissions
- Ensuring all users comply with these Terms
- Monitoring user activities within the account
- Promptly removing access for terminated employees
- Maintaining security of administrative credentials
3A.3 Employee Access: You are liable for all actions taken by your employees or authorized users. You must ensure all users are trained on proper use of the App and these Terms.

3B. SERVICE LEVEL AGREEMENTS
3B.1 Uptime Commitment: We target 99.5% uptime but do not guarantee uninterrupted service. Planned maintenance will be scheduled during off-peak hours when possible.
3B.2 Support Response: We will use commercially reasonable efforts to respond to support requests within 24-48 hours for standard issues and 2-4 hours for critical system failures.
3B.3 Performance Standards: While we strive to maintain optimal performance, actual response times may vary based on internet connectivity, device specifications, and system load.
3B.4 Service Credits: No service credits or refunds are provided for downtime unless specifically agreed to in a separate enterprise agreement.
3B.5 Limitation: Our obligations under this section represent our sole liability for service availability issues.
4. SUBSCRIPTION AND PAYMENT TERMS
4.1 Subscription Plans: The App is offered under various subscription plans with different features and pricing tiers. Current plans and pricing are available within the App or on our website.
4.2 Payment: You agree to pay all fees associated with your selected subscription plan. Fees are charged in advance for the subscription period you select (monthly, quarterly, or annually).
4.3 Billing: Payment will be automatically charged to your selected payment method on the anniversary date of your subscription. You authorize us to charge your payment method for all applicable fees.
4.4 Price Changes: We reserve the right to change our pricing with 30 days' advance notice. Price changes will take effect at your next billing cycle.
4.5 Late Payment: If payment is not received when due, we may suspend your access to the App until payment is received. Continued non-payment may result in account termination.
4.6 Refunds: All fees are non-refundable except as expressly provided in these Terms or as required by applicable law.
4.7 Free Trial: If offered, free trial periods are limited to one per customer and require valid payment information. Your subscription will automatically begin at the end of the trial period unless cancelled.
4A. FINANCIAL AND TAX COMPLIANCE
4A.1 Tax Calculation Disclaimer: While the App may provide tax calculation features, you are solely responsible for the accuracy of all tax computations, filings, and payments. We do not provide tax advice.
4A.2 Compliance Responsibility: You are responsible for ensuring compliance with all applicable tax laws, accounting standards, and financial regulations in your jurisdiction.
4A.3 Financial Reporting: You acknowledge that any financial reports generated by the App are based on data you input. You are responsible for the accuracy and completeness of all financial information.
4A.4 Professional Advice: You are encouraged to consult with qualified accountants, tax professionals, or legal advisors regarding your business compliance obligations.
4A.5 Limitation: We disclaim all liability for any tax penalties, interest, or other consequences arising from your use of the App's financial features.
4B. INTEGRATION AND API TERMS
4B.1 Third-Party Integrations: The App may integrate with banking systems, payment gateways, and other third-party services. You are responsible for maintaining these integrations and any associated fees.
4B.2 API Usage: If provided access to our APIs, you agree to use them only as documented and within reasonable usage limits. Excessive API usage may result in throttling or additional charges.
4B.3 Data Synchronization: You are responsible for ensuring data synchronization accuracy across integrated systems. We are not liable for data discrepancies caused by third-party service failures.
4B.4 Banking Integration: You acknowledge that banking and payment integrations depend on third-party services beyond our control. We do not guarantee the availability or reliability of these services.
4B.5 Integration Failures: We are not responsible for business losses caused by third-party integration failures, banking system downtime, or payment processing issues.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 Our Rights: The App, including all software, code, text, graphics, logos, images, audio, video, data compilations, and all intellectual property rights therein, is owned exclusively by Riverbank Solutions Ltd or our licensors.
5.2 License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for your internal business purposes.
5.3 Restrictions: You may not:
- Copy, modify, distribute, sell, or lease the App
- Reverse engineer, decompile, or disassemble the App
- Create derivative works based on the App
- Remove or alter any proprietary notices or labels
- Use the App for any unlawful purpose
- Sublicense, rent, or loan the App to third parties
5.4 Your Content: You retain ownership of all data, content, and information you input into the App ("User Content"). You grant us a license to use, store, process, and transmit User Content solely to provide the Service.
